We will render only the services outlined above. We will depend on you to provide the information we need to prepare and complete our services. We may ask you to clarify some items but will not audit or otherwise verify the data you submit.
We will perform an interview only as needed to prepare you’re the services. Our work will not include procedures to find defalcations or other irregularities. Accordingly, our engagement should not be relied upon to disclose errors, fraud, or other illegal acts, though it may be necessary for you to clarify some of the information you submit. We will, of course, inform you of any material errors, fraud, or other illegal acts we discover.
All-Inclusive Entity Formation Package - $700 + State fees

- We submit the formation documents. Your entity is typically formed within two business days.
- Series LLC language added to your LLC for no additional cost ($500 savings from other legal services)
- We apply for a Federal Tax Identification Number (Included in our fee/No additional Charge)
- We will meet to discuss how to best tax your entity for Federal tax purposes (up to 1-hour)
- Manager-Managed or Member-Managed Operating Agreement included ($200 value)
- We will file your entity election forms (if applicable) with the Internal Revenue Service to ensure you receive the most advantageous tax treatment (this is something most frequently neglected by attorneys and online incorporation services)
Additional Services and Assistance
Registered Agent Update with the Secretary of State - $200 per year
Update your registered agent with the Secretary of State. You will have the option of selecting a new registered agent. We can serve as your registered agent for a small additional fee.
Texas Entity "Doing Business As" Assumed Name Certificate - $100
Any LLC or Corporation can operate with an assumed name, however, you need to file your assumed name certificate with the Texas Secretary of State. We can electronically file the certificate on your behalf and have it back to you within 2 business days. Note: Once you obtain the assumed name from the Secretary of State, you may still be required to obtain a local assumed name certificate from the county. You need both, an assumed name certificate from the state and one from the county if your entity wants to operate with an assumed name.
Sales/Use Tax Permit Application - $100
Assist you in the application of a Texas Sales Tax Permit.
Federal Entity Election/Tax Planning - $550
This is the best value added service. We will review your current entity election and make recommendations regarding finding additional deductions, and if appropriate, assist you in filing an entity election form with the Internal Revenue Service. The majority of our clients save more in their taxes than the fee for this service.
Texas Entity Reinstatement - $249 + $100/missing report
If your entity is in bad standing with the Secretary of State, We can help reinstate your entity. We will coordinate with the State Comptroller to ensure all matters are resolved and then coordinate with the Secretary of State to ensure your entity is reinstated and in good legal standing.
Texas Entity Terminations - $249 + $100/missing report
We can assist and wind down your affairs for your Texas Corporation or Texas LLC.
Reasonable Compensation Study for S-Corporations - $450
As an S-Corporation, the IRS imposes a requirement to pay "reasonable compensation" to shareholder/employees. This formal study provides you with an analysis to help you answer the question, "What should your compensation be" that is rigorous and academic. Attorneys in litigation use the same methodology when litigating the Internal Revenue Service. Learn the strategies and have a plan for the day that your "reasonable compensation" is challenged and avoid unpleasant surprises that come from incorrect compensation.
